CanineOps Terms of Service

1. Acceptance and eligibility
By accessing or using CanineOps, you agree to these Terms. You must be legally able to enter a contract and use the service for lawful business purposes. If you accept on behalf of an organization, you represent that you are authorized to bind that organization.
2. Organization account ownership
The organization account is responsible for all administrators, staff users, permissions, devices, and activities performed through organization credentials or approved integrations. Customer is responsible for promptly removing access for former staff, restricting shared devices, and addressing unauthorized internal use that results from weak credential or access management.
3. Authorized users and security obligations
You agree to enforce least-privilege access, maintain secure passwords, avoid credential sharing, and use available security controls. CanineOps supports role-based controls and optional MFA-related features, but customer account hygiene, device security, and internal access discipline remain your responsibility.
4. Service scope and platform role
CanineOps is software for operations management. CanineOps does not provide veterinary care, emergency response, legal or regulatory compliance management, tax advice, payment-processing services on your behalf, or guaranteed records archiving. You remain responsible for pet-care decisions, local law compliance, pricing, waivers, and customer communications.
5. Subscription terms, trials, demos, and renewals
Plans may include trial, demo, beta, or preview access. Unless otherwise stated in writing, paid plans automatically renew by billing cycle until canceled. You authorize recurring charges for subscription fees, applicable usage charges, communication fees, taxes, and other amounts validly incurred under your account. Trial, demo, beta, or preview access may be limited, modified, suspended, or revoked to prevent abuse, protect service integrity, or address legal or security concerns.
6. Billing, payment failure, overages, and account records
You must maintain a valid payment method and review your account usage promptly. Failed payments may result in retries, account restrictions, suspension, or termination. Usage-based charges, overages, SMS/email related fees, carrier or provider pass-through costs, taxes, and similar variable charges may be billed separately according to your configured usage and plan terms. Platform usage logs, provider records, invoices, and account history may be used to validate billing, abuse reviews, and account-level disputes.
7. Cancellation, refunds, plan changes, and disputes
You may cancel to stop future renewals. Unless required by law or expressly agreed in writing, fees already charged are non-refundable, cancellations are not retroactive, and partial-period credits are not required. Upgrades, downgrades, and annual commitments may have different effective dates described in billing documents. Billing questions should be raised promptly with CanineOps before chargebacks are initiated, and undisputed amounts remain due while a dispute is reviewed.
8. Customer data ownership and processing license
As between the parties, customer data remains controlled by the customer organization. You represent that you have all rights, permissions, and lawful bases needed to upload, store, send, and process the data you place in CanineOps. You grant CanineOps a limited license to host, process, transmit, back up, and display customer data solely to provide, secure, support, and improve the service consistent with our agreements.
9. Communications and consent responsibilities
You are responsible for obtaining and maintaining lawful consent for SMS, email, and similar communications sent through the platform, including opt-out handling and content compliance (for example TCPA, CAN-SPAM, and similar laws where applicable).
10. Acceptable use and prohibited conduct
You must not use the service for unlawful activity, harassment, spam, malware, unauthorized access, credential sharing outside authorized users, scraping abuse, reverse engineering beyond rights that cannot legally be restricted, disruptive automation, or misuse of client or pet data. CanineOps may enforce limits, throttling, suspension, or termination to prevent abuse, protect other customers, or address legal or security risk.
11. Support access, beta features, operational records, and third-party dependencies
Authorized CanineOps personnel may access tenant context on a limited basis for support and operations. Beta or preview features are provided as-is and may change or be discontinued. Audit logs, support records, billing records, and operational telemetry may be retained and used for security, abuse prevention, troubleshooting, and account administration. Third-party providers and integrations may affect feature behavior, deliverability, processing times, and availability, and CanineOps is not responsible for outages or failures caused by third-party services outside its reasonable control.
12. Availability and warranty disclaimer
The service is provided on an "as available" and "as is" basis. CanineOps does not guarantee uninterrupted availability, error-free operation, successful delivery by third-party messaging providers, preservation of every record without customer-side retention practices, or that every issue can be corrected within a specific timeframe unless explicitly committed in a separate written agreement. CanineOps does not guarantee business outcomes, revenue lift, legal compliance results, or operational decisions made by customer personnel.
13. Intellectual property and feedback
CanineOps and its licensors own all rights in the platform, software, and documentation except customer data. If you submit feedback, you grant CanineOps a perpetual, worldwide, royalty-free right to use that feedback for product improvement without compensation to you.
14. Suspension and termination rights
CanineOps may suspend or terminate access for material breach, abuse, security risk, nonpayment, or legal compliance needs. You remain responsible for amounts due through the effective termination date and any lawful post-termination obligations.
15. Limitation of liability
To the maximum extent permitted by law, CanineOps is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, goodwill, use, data, business interruption, third-party provider failures, message-delivery failures, or customer claims arising from animal-care decisions, customer communications, or staff misuse of the service. CanineOps aggregate liability for claims arising out of or related to the service is limited to amounts paid by customer to CanineOps in the 12 months before the event giving rise to liability.
16. Indemnification
Customer will defend and indemnify CanineOps against third-party claims arising from customer data, uploaded content, misuse of client or pet information, unlawful communications, payment disputes caused by customer conduct, or violations of these Terms by customer or authorized users, except to the extent caused by CanineOps gross negligence or willful misconduct.
17. Disputes and governing law
Dispute procedures, venue, and governing law may be specified in customer order forms, enterprise agreements, or posted legal metadata. If a required term is not yet finalized publicly, the parties will apply the most current signed commercial agreement where available.
18. Changes to these Terms
CanineOps may update these Terms. Material updates take effect as of the posted date unless a later date is stated. Continued use of the service after the effective date constitutes acceptance of revised Terms.
